Scotia Capital Inc. and any person operating the site for it may change the technical requirements relating to the use of this site at any time. In the event of such a change, it is the responsibility of each user to upgrade to the level of the new technical requirements.

14. (a) Each user authorizes Scotiabank to record any telephone or other verbal communications related to this site. Scotiabank is authorized to record electronically a user’s identity as a user of this site, including by using “cookies” and its acceptance of the Terms of Access and any data that the user inputs while accessing or using the site or its publications.
This site uses "cookies". A "cookie" is a piece of data that a web server creates when the user visits the site and is typically encoded information. Users will not be able to access the site without using the "cookies" placed by the site operator - be they permanent or sessional cookies. A permanent "cookie" is created and retained to identify the user ID, the company ID and the Login Name and more importantly to allow the user to access the site from time to time.
A sessional "cookie" is created each time a user visits the site. This "cookie" is mandatory to enable site visits. If a user turns this temporary "cookie" off (disables it), access to the site will be denied. (b) With respect to clients of Scotia Capital (USA) Inc., the laws of New York shall apply to this site and its use by such a user, without regard to its conflict of law rules. Any action brought by such a user must be brought in the federal or state courts located in Manhattan, City of New York. Such a user consents to the jurisdiction of such courts.
(c) Any limitations on remedies and/or rights to recover damages that may be contained in any provision of this agreement shall apply to all causes of action, including without limitation breach of contract, tort (including negligence) and strict liability.
20. Scotia Capital Inc. and Scotia Capital (USA) Inc. reserve the right without prior notice to change or remove at any time any aspect of this site, including the information and any publication found here from time to time. In addition Scotia Capital Inc. and Scotia Capital (USA) Inc. each reserve the right, without prior notice, to suspend or discontinue temporarily or permanently the availability/existence of this website for its users and for reasons that shall be solely within their discretion and/or any operator of this site.
21. Subject to Sections 3 and 5 of these Terms, the agreement resulting from acceptance of these Terms contains the entire agreement between each user and Scotia Capital Inc. or Scotia Capital (USA) Inc. (as the case may be) and supersedes all prior agreements, negotiations and representations (written and oral) between them relating only to the use of this site and the type of information found within this site from time to time. You agree that, by accessing and using the S&P Capital IQ Research, including (i) any S&P Capital IQ research, articles and other materials provided or made accessible to Scotia Group or you by S&P Capital IQ, and (ii) any materials prepared and provided by Scotia Group that contain a discussion or analysis or recommendation in respect of a security or a discussion or analysis of a specific market sector or general market conditions based on or including the S&P Capital IQ Research or any portion thereof, you agree to the following Terms of Use:
1. Use and Distribution.
(i) Internal Use.
S&P Capital IQ Research may be used solely by you in the ordinary course of business and may not be distributed to any other person, subject to limited exceptions below in (ii) and (iii).
(ii) External Use of S&P Capital IQ Research in its Original Form.
S&P Capital IQ Research may be distributed by you solely to your clients, provided:
(a) the client is a current client of the Scotia Group; and
(b) the S&P Capital IQ Research is not designated on its face as being for internal use only; and
(c) the S&P Capital IQ Research is distributed to your clients on an infrequent, occasional and incidental basis, and at no-charge; and
(d) except as provided below in (iii), the S&P Capital IQ Research is distributed to clients only in S&P’s original form, inclusive of the entire text of the original report or article, the accompanying legally required disclosure, the date of the report or article, and the glossary of terms, and it is not extracted or summarized; and
(e) the S&P Capital IQ Research is distributed not later than sixty (60) days following the date of the S&P Capital IQ Research unless the S&P Capital IQ Research bears its original date, the client is made aware that the report is outdated, and the client is made aware of the most recent S&P Capital IQ Research covering the same subject matter; and
(f) where Articles are concerned, appropriate credit to S&P Capital IQ is given as the source of the data/information, and an appropriate disclaimer of liability on behalf of S&P Capital IQ and its third party information providers in relation to errors or omissions in the data/information and the context from which it is drawn is provided in a form pre-approved in writing by Scotia Group; and
(g) the S&P Capital IQ Research bears all original copyright notices accompanying the original report or article, and
(h) if the report is one of the following reports:

the report will not be provided to the client unless it is accompanied by the PDF disclosure, which can be found at this link.
(iii) External Use of Excerpted Portions of S&P Capital IQ Research.
If any reports, presentations and other publications that you distribute to clients utilize or display limited excerpts of data/information from the S&P Capital IQ Research (in each case excluding any S&P Capital IQ Research or ScotiaMcLeod Portfolio Advisory Group report designated for internal-use only which cannot be distributed to clients), including any stock ratings, you agree that:
(a) you will distribute such reports, presentations, and other publications only to current clients of Scotia Group and only on an infrequent, occasional and incidental basis and only on a no- charge basis; and
(b) you will give appropriate attribution to S&P Capital IQ as the source of the excerpted quote/data/information; and
(c) you will include an appropriate disclaimer of liability on behalf of S&P Capital IQ and its third-party information providers in relation to any errors or omissions in the excerpted quote/data/information and the context from which it is drawn, in a form pre-approved and provided in writing by Scotia Group, together with the accompanying disclosures required by Scotia Group.
(iv) Authorized Jurisdictions.
The foregoing rights are limited to the right to access, use and distribute S&P Capital IQ Research in the jurisdictions of Canada, Mexico, Chile, and the Bahamas and are subject to your registration in the relevant jurisdiction as an investment advisor or investment representative of Scotia Group and your compliance with the local laws of the relevant jurisdiction. Any exceptions to this must be pre-approved in writing by the Scotia Group Compliance Department in Canada.
2. User Access. You acknowledge you will be provided with a user access identification code to enable you to access the S&P Capital IQ Research and you agree you will not disclose or otherwise provide the user access identification code to any other party.
3. Termination. Either party may terminate this subscription at any time. You agree that Scotia Group has the right to withdraw your access to S&P Capital IQ Research at any time, without notice.
